A strategic partnership between dominant cannabis track-and-trace providers Metrc and BioTrack has created a new entity to handle BioTrack's government operations, raising questions about nationwide consolidation in the $32 billion U.S. marijuana industry's compliance sector. Announced Tuesday, the deal leaves state regulators and operators uncertain, particularly in markets like New York where track-and-trace rollout now faces delays. This move could standardize systems long plagued by fragmentation but risks short-term disruptions in supply chain monitoring.

Details of the Partnership Reshape Compliance Landscape

Metrc, based in Lakeland, Florida, holds contracts in 29 states, requiring licensed operators to use its radio-frequency identification tags and software to track cannabis from seed to sale. BioTrack, from Fort Lauderdale, Florida, serves eight states including Arkansas, Connecticut, Delaware, Hawaii, Florida, New York, New Mexico, North Dakota, and Virginia. The partnership establishes BT Government, an independent entity led by BioTrack Chief Operating Officer Moe Afaneh, to manage BioTrack's government-facing operations while BioTrack retains point-of-sale and business software services.

Track-and-trace systems assign unique identifiers to plants and products, enabling regulators to prevent diversion between legal and illegal markets. Metrc has gained ground recently, with Illinois switching from BioTrack in February and Massachusetts renewing its contract that month. BioTrack's acquisition of MJFreeway last year failed to stem losses, following its 2018 merger with Helix TCS and a $30 million sale to Alleaves in February 2023.

New York Launch Stalls Amid Uncertainty

New York regulators selected BioTrack in November 2022 for a five-year, $1.2 million contract to monitor its $1.5 billion market, more than halfway through its third year of adult-use sales without a functional system. Operators faced mandates to buy tags at 10 cents each, including for individual pre-rolls under a contested "sublot" rule not explicitly in state law, driving costs higher than typical Metrc deals like California's $113 million four-year pact. On Wednesday, the Office of Cannabis Management suspended compliance efforts pending clarity on the partnership's "systems implications."

Operators in BioTrack states like Connecticut report similar confusion. Empire Cannabis Manufacturers Alliance President Mack Hueber called potential Metrc adoption a positive step but flagged unresolved issues on timelines, tag pricing, and labor-saving technology. A Metrc spokesperson stated the partnership enhances supply chain transparency and public safety.

Toward Standardization or Further Consolidation?

The U.S. cannabis sector grapples with patchwork regulations, forcing multistate operators to adapt to varying platforms. Poseidon Asset Management's Emily Paxhia described the deal as a potential step toward streamlined operations as the industry matures. Florida records link Metrc Inc., parent of Metrc LLC, to investors like Casa Verde Capital's Karan Wadhera, associated with Snoop Dogg, alongside directors Stephen Jaeb, Jeff Wells, and CEO Michael Johnson.

While BioTrack states await details, Metrc's 29-state footprint remains unaffected. Speculation persists that BT Government signals effective control by Metrc, possibly easing transitions but complicating immediate enforcement against diversion.
